Private party transfer - HowTo?

I am interested in purchasing Donor vials from another CCB member who has vials stored someplace else other than a CCB facility. After talking with La'Trice at CCB today, I know that they can't help once the vials leave the CCB facilities.
So how does it work? What's the safe way to do this to protect both parties in terms of financial and property guarantees (if there is such a thing?)
I was thinking that the financial part would be handled between the two parties, and then the actual transfer would be Lab-to-Lab. But what's the best way to do this? Escrow of some sort? Contract needed? Notarized? Pay now or pay later? Deposits? Etc...
